Prices, ratings, and availability shown on the Site are pulled from public sources at the time of publication and may be out of date by the time you read them. The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content. To the fullest extent permitted by law, SmartPicks and its officers, members, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for all claims arising out of or related to the Site shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the smallest amount permitted by law. Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

You agree to indemnify and hold harmless SmartPicks from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site. We will promptly notify you of any such claim and you will have control of its defense; we may participate at our own expense.

These Terms are governed by the laws of the State of California, United States, excluding its conflict-of-laws rules. Any legal action arising under these Terms must be brought in the state or federal courts located in Sacramento County, California, and you consent to the exclusive jurisdiction of those courts. If you reside in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer protection law gives you the right to sue locally, that right is not affected.

We may modify the Site or these Terms at any time. Material changes will be posted on this page with an updated effective date and, where practical, announced on the Site at least 14 days before they take effect. Continued use of the Site after a change constitutes acceptance of the updated Terms.

We may suspend or terminate your access to the Site at our discretion, without notice, if you violate these Terms or use the Site in a way that risks harm to us, our visitors, or our infrastructure. Sections 5–10 survive termination.
